General terms and conditions of Wilton Investment Services b.v.

Applicability of General Terms and Conditions

1. Wilton Investment Services B.V. (“Wilton”) offers its services under these general terms and conditions, unless otherwise agreed. These terms also apply to additional or follow-up assignments.

Contractor
2. Wilton is always regarded as the sole contractor, regardless of the client's intention for the assignment to be carried out by a specific person. Liability for multiple parties (Article 7:404 and 7:407 of the Dutch Civil Code) is excluded.

Duty of Care
3. Wilton strives for appropriate care in its services but does not guarantee specific results.

Engagement of Third Parties
4. Wilton may engage third parties and accept liability limitations on behalf of the client.
5. A shortcoming of an engaged third party is Wilton’s responsibility if the choice of the third party was careless.

Limitation of Liability
6. Wilton's liability is limited to the fees paid or owed, with a maximum of €50,000.
7. The right to compensation expires three months after the damage becomes known.
8. In damage claims from both the client and third parties, compensation to the client is limited if the total damage amount exceeds the limit.

Confidentiality
9. Wilton keeps client information confidential, unless legally required otherwise.

Fees and Costs
10. The fee is based on the agreed hourly rate and the time spent, excluding VAT. Incurred costs will be invoiced separately.
11. Invoicing can be done monthly, quarterly, annually, or upon completion of the work. The payment term is 14 days.
12. All collection costs due to late payments are for the account of the client.

Jurisdiction
13. Dutch law applies.
14. Disputes will be submitted to the competent court in Breda, although Wilton retains the right to initiate proceedings elsewhere.

Applicable Law, Competent Court
15. The legal relationship between the Client and Wilton is governed by Dutch law.
16. Any disputes that cannot be resolved amicably will be settled by the competent court in Breda. However, Wilton remains entitled to summon the Client to a court that would have competence over disputes between the Client and Wilton without the forum choice mentioned in this article.
